Director Activities—Seeing The Forest For The Trees

Information and advice galore, I see—new daily articles and lists to help people identify and satisfy director responsibilities.  Drilling down into greater and greater detail, it is not too difficult to lose the forest for the trees.  I am myself responsible for originating lists of audit committee activities.  But at the end of the day you must roll up your sleeves and tend to the actual work, however never ending it might be of course.  I find it helpful to take a step back to re-center briefly on the larger picture of director activities and functions with I identify as:

-Oversight of the Organization’s activities and processes pertaining to,

-Strategy,

-Governance/tone at the top/culture,

-Risk management,

-Compliance, and

-Talent/succession,

-Exercising owner-like diligence and decision making—competent, experienced, informed, inquiring, communicative, and with professional demeanor.
